Creating an LLC when starting a business in Alabama is the best choice a person can make. It is much more beneficial to own a company through an LLC rather than keeping it in your personal name. First you are going to want to select a name for your new Alabama LLC. The name of the LLC should try to represent what the company is about, just like the title of a book. Althought this can be a bit tricky because your desired name may be taken, there is always a way to get a name that best represents your company. To check to see if a name is taken, go to the Alabama Secretary of State’s website at http://www.sos.state.al.us/ or call (334) 242-5324. Once you have found the name you need to select the registered agent for the LLC. This is important because the registered agent accepts all mail and official notices for the LLC. So if the LLC were to get sued, the registered agent is the one who will be contacted. If it is a one man operated LLC (Single-Member) than the owner of the LLC will be the registered agent.
Next you will need to determine the names and addresses for each member of the LLC. (Note – this only applies to Multi-Member LLCs). Members are the other investors or partners in the LLC. There is the option to have the LLC be run by multiple members or the LLC can pick one member to run the daily operations. Now it comes time to fill out the State of Alabama Articles of Organization Form where you will fill in all the information that we have gathered together so far. You can obtain this form from the Alabama Secretary of State. Once this is filled out, go your local registered office and submit the documents. Also you must bring $40 for the filing fee.
